1. Scope

1.1 Contracutal object; contractual partner

The following General Terms of Participation („GTP“) apply to our, the PharmSec International GmbH, Sierichstraße 68, 22301 Hamburg represented by the managing directors Dr. Fabienne Diekmann and Stefan Heinz, together with BR Managament GmbH & Co. KG, Lily-Braun-Str. 10-12, 23843 Bad Oldesloe, with the personally liable partner BR Management Verwaltungsgesellschaft mbG, represented by the managing director Benjamin Rodloff (together “we“) under the designation “CannConvention“ implemented event (series) (in each case our “event“).

1.2 Entrepreneur

Our events addresses exclusively you as an entrepreneur, especially as a member of the specialist groups, i.e. doctors, pharmacists, member of a medical, dental medical, pharmaceutic or other medical profession (“you”) or as representative of authorities. According to § 14 BGB, an entrepreneur is a natural or legal person or a judicable partnership, who acts in the line of their commercial or independent professional activity when concluding a legal transaction.

1.3 Contradictory General Terms and Conditions

For your participation in our event(s), only the GTP in its at the time of … valid version apply. Unless otherwise agreed, your conflicting terms and conditions are expressly contradicted.

2. Conclusion of the contract

2.1 Registration for the event

All our offers and promotional information, whether online or offline to our event(s) (our “event offer”) are non-binding and subject to change. We reserve the right to change or cancel our event offer at any time. Our event offer does not constitute a binding offer to you to participate in an event, but merely an invitation to you to submit a corresponding binding offer (“Registration”) to us. For this purpose, we provide you with a corresponding registration form in paper form together with GTP and data protection instructions (“Offline Registration”) or online (“Online Registration”) at https://www.cannconvention.de/en/registrierung/ (“Website”), whereby you can retrieve and store this GTP and our privacy policy on the website on your device at any time, as far as it is technically capable to do so.

2.1.1 Your binding registration for the event takes place with the offline registration, if the offline registration signed by you personally and supplemented by the data marked as compulsory data is added and send as scan or photographed by email, the originals by mail or by fax to: BR Management GmbH & Co.KG, “Registration CannConvention”, Lily-Braun-Str. 10-12, 23843 Bad Oldesloe, fax:  +49 (0) 4531 6940109.

2.1.2 Your binding application to participate in the event takes place with the online registration by supplementing the registration form available at https://www.cannconvention.de/en/registrierung/ by the data marked as compulsory data and submitting them to us by using the button “register with costs”. Before submitting the online registration you can change and view the data at any time. However, the application can only be submitted and transmitted if you accept this ATB through the active opt-in and thereby include them in your application and confirm that you have read the privacy policy.

2.1.3 Registration by or for third parties is not permitted. Your registration for your employees is not considered a registration for third parties.

2.2 Event confirmation

A contract with us about your cost required participation in the event(s) booked by you concludes by the acceptance by us in writing (e.g. by mail) or text form (e.g. by fax or e-mail), which is attached to the contract text (consisting of your registration, the GTP and the Privacy Policy) (“event confirmation”). The contract text is being saved in accordance with the Privacy Policy. The conclusion of the contract is in German. If the event confirmation does not include the participation fee invoice, the invoice will be sent separately by letter or text. In case of your online registration we will send you an automatic acknowledgement of confirmation by e-mail first, in which your registration will be listed again and which you can print out via the function “print”. The automatic acknowledgment of receipt merely documents that your registration has reached us and does not constitute an application acceptance.

2.3 Eligible participants

Effective conclusion of the contract for your participation and/or the participation of your employees or other representatives to whom your application relates (together your “employees”) in the event and full payment of the participation fees, you or your employees (together “participants”) are eligible to participate in the event(s) you have been confirmed for. We are entitled to refuse your registration without giving reasons. In this case, a contract for participation in the event(s) will not be concluded.

3. Participation fees; Due date of participation fees

3.1 The participation fees and terms of payment mentioned in the event offer at the time of your registration apply. The payment methods mentioned there are available. The participation fees are net prices per participant per event plus VAT.

3.2 The participation fees become due with the conclusion of the participation contract for the payment once in advance.

4. Cancellation of your participation

4.1 The cancellation of your participation and/or the participation of your employees in our event is possible for a total processing fee of fifty (50) EUR until four (4) weeks before the start of the event. For cancellations up to two (2) weeks prior to the event half of the registration fee will be payable, thereafter the full registration fee will be payable, unless you provide a substitute participant, provided that he/she belongs to your company. Transfers to another event will be considered cancellations and dealt with as such pursuant to “Satz 1”.

4.2 To observe the deadline, cancellations and rebooking must be received within the deadlines mentioned above in writing by post or e-mail by BR Management GmbH & Co.KG, Lily-Braun-Str. 10-12, 23843 Bad Oldesloe.

5. Cancellation of the event

We are entitled to cancel the event for economic or organizational reasons. In this case, we will refund the participation fees already paid immediately. Further claims cannot be derived from this. Cancellation or rebooking fees for booked transportation or accommodation costs will not be refunded. In this context, we point out that it is possible to book cancellation-free business tariffs with the carriers or to conclude a seminar cancellation cost insurance.

6. Changes to the course of the event

We reserve the right to replace individual lectures of the event or to drop them, as long as this does not affect the overall character of the event.

7. Event content

We assume no responsibility for the topicality, correctness, completeness or quality of the materials. Our speakers are free in their lecture. The communicated opinions do not have to correspond to our opinion.

8. Participation in the event

8.1 Principle

Your participation or the participation of your employees is based on compliance with the rules of this GTP. If we become aware of violations of these obligations by you or your employees, we reserve the right to exclude the participant, who violates the obligations arising from these GTPs, from the event after a single violation.

8.2 Disruption

If, despite a warning, the participant does not refrain from disrupting the event in a lasting way, so that a smooth course of the event can no longer be guaranteed, we reserve the right to exclude the participant from the event. The event management is authorized to give instructions to the participant for the duration of the event.

8.3 Copyright and other rights

All of the content that we present at the event, whether digital or textual, in particular educational materials and audiovisual content, such as scripts, tutorials and education videos (together “materials”) are protected by copyright and intellectual property rights – even if made available to the participant in our sole discretion on a medium and/or for download. The materials may not be reproduced, distributed, processed, published or made accessible to the public without our expressly written consent – not even in part. The participant undertakes to use the materials provided to us exclusively for his/her own use and not to make them available to third parties. Employees are not considered third parties, provided that you have contractually committed your employees in accordance with this GTP.

8.4 Recordings; Right at one’s own picture; Declaration of consent

Participants are not permitted to produce audio and/or photo and/or video recordings including still images of the event, in particular as far as they show a lecturer or make him/her audible (together “recordings”) in any case. Should we, in our sole discretion, decide to make recordings for quality enhancement purposes of our events or for self-promotional purposes, that will show the participant or make him/her audible, you hereby consent irrevocably and gratuitously for all present and future media that, for self-promotional and public relation purposes, we and affiliated companies are authorized to create, reproduce and in compliance with the general right of privacy edit recordings of your person, that go beyond the reproduction of a current event, broadcast or have them broadcasted as well as use them in audiovisual media or to have such action performed by third parties commissioned by us, indefinitely as well as locally unlimited, in particular via the Internet, provided that the participant has been informed about this at the beginning of the event. The grant of rights mentioned above includes e.g. the complete or partial production of recordings of the event, their edit as well as reproduction and distribution on image, sound and data carriers such as e.g. CD and DVD and their public availability on the Internet, e.g. via download and/or streaming. You hereby guarantee to obtain the appropriate consent from your employees, if necessary.

9. Liability

9.1 Limitation of liability

Damage claims by the participant are excluded. If the event is delayed or cancelled due to force majeure, no liability will be assumed. We assume no liability for the correctness and completeness of the content of lectures and materials. This does not apply to damage claims by the participant from injury to life, limb, health or from the violation of essential contractual obligations (cardinal obligations) as well as liability for other damages that are based on our willful or grossly negligent violation of duty or these of one of our legal representatives or vicarious agents. Significant contractual obligations are those whose fulfillment is necessary to achieve the contractual objectives. However, neither the event as such, nor the lectures or the materials, which are merely intended to provide the participant with a first overview, replace any legal, medical or pharmaceutical advice given by appropriate professionals in individual cases. We therefore assume no liability for consequential damages based on incorrect and/or incomplete contents of the lectures and/or materials.

9.2 Liability for violation of essential contractual obligations

In the event of a violation of essential contractual obligations, we are only liable for the contractually typical, foreseeable damages, if simply caused by negligence, unless it concerns damage claims by the participant resulting from injury to life, limb or health.

9.3 Legal representatives and vicarious agents

The limitations of paragraph 6.1 and 6.2 also apply to our legal representatives and vicarious agents if claims are asserted directly against them.

9.4 Mandatory legal liability

Mandatory legal liability provisions remain unaffected from the limitations of liability of paragraph 9.1 and 9.3 mentioned above.

10. Privacy Policy

We only process personal data of the participant in the context and for the purpose of his/her participation in the event(s) booked by him/her. An unauthorized disclosure to third parties takes place under no circumstances. Further information on data protection can be found in our Privacy Policy, which is available at https://www.cannconvention.de/en/privacypolicy.

11. Changes to the GTP

We are entitled to change the GTP at any time, with the exception of the main performance obligations with future effect. The main performance obligations are those obligations, which enable the proper execution of the contract and the contracting parties can regularly rely on their compliance. We will notify the contracting party of the changes and provide an opportunity to object to the changes within a reasonable period of time after notification and in particular indicate that the changes take effect in the absence of an objection.

12. AOB

12.1 Transfer of claims

The participant is only entitled to transfer claims against us to third parties after our expressly written consent.

12.2 Rights of retention; Set-off

The exertion of rights of retention by the participant is only permitted with regard to claims arising from this contract and only for uncontested or legally established claims. The participant may only set off against undisputed or legally established claims from us; this restriction does not apply if the counterclaims are in a reciprocal relationship with our claim.

12.3 Right of retention

We are entitled to refuse participation in the event for the participant as long as he is in default of payment. The assertion of further damage remains unaffected by this.

12.4 Place of jurisdiction

Unless you have a general place of jurisdiction in the Federal Republic of Germany or you are a merchant, a legal entity of public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from and in connection with the contractual relationship is Hamburg, Federal Republic of Germany.

12.5 Applicable law

Exclusively German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods of 04/11/1980 (UN Sales Convention).

12.6 Contract changes and supplements

Changes and/or supplements to the contract including this GTP must be made in writing in order to be valid. Oral agreements are only valid upon written confirmation by us. The same applies to this clause.

12.7 Severability clause

Should individual provisions of the contract including this GTP be ineffective, it does not affect the validity of the remaining provisions. The contracting parties will endeavor to find, in place of the ineffective provision, one that best meets the objective of the contract legally and economically. The same applies in the case of contract gaps.
